## 1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the Imperium Technologies website (imperiumtechnologies.io) and any products, services, content, or features made available through it (together, the “Services”).
The Services are operated by Imperium Technologies – contact email **support@imperiumtechnologies.io** (“Imperium”, “we”, “us”, “our”).
By creating an account, subscribing to any plan, purchasing any product, or otherwise using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy and Risk Disclosure.
## 2. Eligibility
To use the Services you must:
* Be at least 18 years old (or the legal age of majority in your jurisdiction);
* Have the legal capacity to enter into a binding contract;
* Not be located in, or a resident of, any jurisdiction where the use of our Services would be contrary to applicable law.
You are solely responsible for ensuring that your use of the Services complies with the laws of your country of residence.
## 3. Our Products
Imperium offers two distinct products:
**3.1 Educational Members’ Community (“Community Subscription”)**
A paid subscription that grants access to a private members’ community (currently delivered via a Telegram channel) covering market structure analysis, methodology discussion, post-hoc trade reviews, and educational content related to systematic trading.
The Community is **educational and informational** in nature. Nothing posted in the Community constitutes investment advice or a personal recommendation. See our Risk Disclosure for full detail.
**3.2 Algorithmic Trading Software (“Algorithm License”)**
A licensed digital product (a systematic trading algorithm) made available to specific clients on a case-by-case basis. The Algorithm is delivered as software for the licensee to deploy and operate on their own infrastructure and broker account, under the terms of a separate licence agreement provided at the time of sale.
Imperium does not operate, monitor, or manage any licensee’s broker account. The licensee is at all times the sole controller of their account and all trading decisions executed by the Algorithm on their setup.
## 4. Account Registration
To purchase a subscription or product you must create an account. You agree to:
* Provide accurate, current, and complete information during registration;
* Keep your login credentials confidential and not share them with any third party;
* Notify us immediately of any unauthorised use of your account;
* Be responsible for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain false information, are used to abuse the Services, or are used in breach of these Terms.
## 5. Subscriptions, Billing, and Payment
**5.1 Pricing**
The current price of each subscription plan is shown on our website. Prices are quoted in Euros (EUR) and may differ by country.
**5.2 Recurring Billing**
Community Subscriptions renew automatically each billing period (monthly) until cancelled. By subscribing, you authorise Imperium and its payment processor (Stripe) to charge your payment method on a recurring basis.
**5.3 Payment Processing**
All payments are processed by **Stripe Payments Europe Ltd**. Imperium does not store your full payment card details. By subscribing you also agree to Stripe’s terms.
**5.4 Failed Payments**
If a recurring payment fails, we may retry the charge or suspend your access until payment is successfully made. Repeated failed payments may result in cancellation.
**5.5 Cancellation**
You may cancel your Community Subscription at any time via your account dashboard or by contacting us. On cancellation, your access continues until the end of the current paid billing period; access is not extended beyond that period and no pro-rated refund is offered for the unused portion of a paid period, except where required by mandatory consumer law.
## 6. Refunds and EU Withdrawal Right
EU/EEA consumers ordinarily have a 14-day right to withdraw from contracts for digital services under the Consumer Rights Directive (Directive 2011/83/EU).
By starting your subscription and clicking through to the Community immediately upon purchase, **you expressly consent to immediate performance of the contract and acknowledge that you lose your right of withdrawal once we begin providing the Service.** This is presented to you at checkout and confirmed by your purchase.

## 7. Acceptable Use
You agree not to:
* Share, redistribute, resell, sublicense, or publicly disclose any content, materials, signals, analysis, or recordings provided through the Community or any other Service;
* Share your account credentials or Telegram invite link with any third party;
* Use the Services for any unlawful purpose, or in any way that could harm Imperium, its users, or third parties;
* Reverse engineer, decompile, disassemble, or attempt to derive the source code of any algorithm or software product, except to the extent permitted by mandatory applicable law;
* Use any automated means to access, scrape, or copy content from the Services;
* Misrepresent your identity, age, or jurisdiction.
Breach of this section may result in immediate termination of your access without refund.
## 8. Intellectual Property
All content, materials, software, algorithms, code, branding, text, graphics, logos, and any other intellectual property associated with the Services (the “IP”) is owned by Imperium or its licensors and is protected by Bulgarian, EU, and international intellectual-property laws.
Subject to your compliance with these Terms, Imperium grants you a **limited, personal, non-exclusive, non-transferable, revocable** licence to access and use the IP solely for your personal, non-commercial use of the Services. Any other use is prohibited without our prior written consent.
Where you license a specific algorithm product, the terms of that licence are governed by a separate End User Licence Agreement provided to you at the time of purchase, which prevails over these Terms in case of conflict regarding the algorithm.
## 9. Educational Nature — No Investment Advice
The Services are **educational and informational** in nature.
Imperium is **not** a licensed investment intermediary, investment adviser, broker, asset manager, or fund manager. We do not provide personalised investment advice, hold or have access to client funds, or operate any client’s brokerage or trading account.
You are at all times solely responsible for your own trading decisions and for any profit or loss arising from them. See our Risk Disclosure for full detail. By using the Services you confirm that you have read, understood, and accepted that Risk Disclosure.
## 10. Disclaimers
The Services are provided **”as is” and “as available”** without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that:
* The Services will be uninterrupted, error-free, or free of viruses or other harmful components;
* Any information published through the Services is accurate, complete, or current;
* Any algorithm, strategy, or methodology will be profitable or perform in any particular way.
Any past or hypothetical performance figures are not indicative of future results.
## 11. Limitation of Liability
To the maximum extent permitted by applicable law:
* Imperium shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of trading opportunities, or trading losses;
* Imperium’s total aggregate liability arising from or relating to your use of the Services shall not exceed the total amount paid by you to Imperium in the **twelve (12) months** preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under mandatory applicable law (including, where applicable, liability for death or personal injury caused by negligence, or liability for fraud).
## 12. Indemnity
You agree to indemnify and hold harmless Imperium, its directors, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any applicable law or third-party right.
## 13. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if:
* You breach these Terms;
* We are required to do so by law or by a competent authority;
* Your use of the Services creates a security, legal, or reputational risk to Imperium.
You may terminate by cancelling your subscription and ceasing to use the Services.
On termination, sections of these Terms that by their nature should survive (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will continue to apply.
## 14. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the latest revision. Material changes will be notified via the website or email at least 14 days before they take effect. Continued use of the Services after that date constitutes acceptance of the updated Terms.
## 15. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by **the laws of the Republic of Bulgaria**, without regard to its conflict-of-laws principles.
You and Imperium submit to the **exclusive jurisdiction of the competent courts of the Republic of Bulgaria** for the resolution of any dispute, except where mandatory consumer-protection law provides you with the right to bring proceedings in your country of residence.
